1. Acceptance of Terms

By accessing and using Shippley, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

These terms apply to all users of the service, including but not limited to Shopify store owners, merchants, and their authorized representatives.

2. Service Description

Shippley provides AI-powered fraud prevention services for Cash on Delivery (COD) orders on Shopify stores operating in Pakistan. Our service includes:

  • Automated fraud detection and risk scoring for COD orders
  • SMS and phone call verification of customers
  • Analytics and reporting on fraud patterns
  • Integration with Shopify stores
  • Customer support and guidance

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. By registering, you represent that all information provided is accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your Shopify store integration remains secure

4. Subscription and Payment

4.1 Pricing Plans

We offer various subscription plans as detailed on our pricing page. Prices are subject to change with 30 days notice to existing subscribers.

4.2 Payment Terms

  • Subscriptions are billed monthly in advance
  • Payment is due at the start of each billing cycle
  • All fees are non-refundable except as required by law
  • Additional charges may apply for SMS and call verifications based on your plan
  • Failed payments may result in service suspension

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Use of Service

5.1 Permitted Use

You may use Shippley to:

  • Detect and prevent fraudulent COD orders
  • Verify customer information for legitimate orders
  • Analyze fraud patterns and trends in your store
  • Improve your business operations and reduce losses

5.2 Prohibited Use

You agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Harass, abuse, or harm customers or other users
  • Transmit any malicious code or viruses
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer or copy any part of the service
  • Use the service to spam or send unsolicited communications
  • Share your account credentials with unauthorized parties
  • Resell or redistribute our service without permission

6. Data and Privacy

By using Shippley, you grant us permission to access and process your Shopify store data, including customer information and order details, for the purpose of providing fraud prevention services.

You represent and warrant that you have obtained all necessary consents and comply with all applicable data protection laws, including:

  • Pakistan Electronic Transactions Ordinance (PETO)
  • General Data Protection Regulation (GDPR) if applicable
  • Any other relevant privacy and data protection regulations

7. Intellectual Property

All content, features, and functionality of Shippley, including but not limited to text, graphics, logos, software, and AI models, are owned by Shippley and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the service for your business purposes only.

8. Service Level and Availability

8.1 Service Availability

While we strive to maintain 99.9% uptime, we do not guarantee uninterrupted access to the service. We may perform maintenance, updates, or experience technical issues that temporarily affect availability.

8.2 No Guarantee of Fraud Prevention

While our AI models are designed to detect fraudulent orders, we cannot guarantee 100% accuracy. Shippley is a tool to assist in fraud prevention, and final decisions on order fulfillment remain your responsibility.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Shippley is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the past 12 months
  • We are not responsible for losses due to fraudulent orders that our system did not detect
  • We are not liable for decisions you make based on our fraud risk scores
  • We are not responsible for third-party service failures (Shopify, Twilio, etc.)

10. Indemnification

You agree to indemnify and hold harmless Shippley, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the service immediately if:

  • You violate these terms
  • Your payment fails or your account is past due
  • We suspect fraudulent or illegal activity
  • We discontinue the service (with reasonable notice)

11.3 Effect of Termination

Upon termination, your right to use the service ceases immediately. We may delete your data in accordance with our data retention policy.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the service. Continued use of the service after changes constitutes acceptance of the modified terms.

13. Dispute Resolution

13.1 Governing Law

These terms are governed by the laws of Pakistan, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these terms or use of the service shall be resolved through binding arbitration in accordance with Pakistani arbitration laws, before resorting to litigation.

14. Third-Party Services

Our service integrates with third-party platforms and services:

  • Shopify: For accessing your store data and orders
  • Twilio: For SMS and call verifications
  • Payment Processors: For handling subscriptions

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the actions or policies of these third parties.

15. Miscellaneous

15.1 Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Shippley.

15.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these terms without our prior written consent. We may assign our rights and obligations without restriction.
